甲方（委托人）：

Party B: (Attorney-in-Fact): Shanghai Sounding Intellectual Property Agency Co., Ltd.
一. 为明确甲、乙双方权利义务，经双方协商一致，自愿签订本合同。
1. To explicit the rights and obligations of party A and party B, this contract is signed by the both sides of its own accords
with a consensus.
二. 甲方委托乙方办理：名称暂定为“ ”的商标及其他与此程序相关的法律事务；
2. Party A entrust Party B handle the trademark affair named tentatively “ ” and all other related legal
matters in the procedure.
三．乙方接受甲方的委托为甲方代理上述工作，乙方代理人应认真负责地做好商标代理事务，积极维护甲方的合法
权益，乙方的代理人对其在代理业务中所了解的发明创造内容，除商标申请已经公布或者公告的以外负有保密
的责任，不得向任何第三方泄漏甲方事宜如有泄露则无条件承担赔偿责任。
3. Party B is entrusted by Party A to handle the above affairs. Party B should carry out the affairs responsibly and protect the
Party A’s legal rights actively. Part B’s agents have confidential obligation to handle the information about the invention
and creation which are provided by Party A during the agency business and are not allowed to leak the said information
to any third party except those information have already been publish and announced to the public. Otherwise, Party B
must take the consequence of compensation unconditionally.
四. 甲方应充分、如实地向代理人说明委托代理事项的内容，及时向代理人提供办案所需要的有关资料，积极配合
代理人工作，甲方应向乙方提供联系人姓名及详细通讯地址，甲方如变更联系人或通讯地址的，应及时将变更
结果书面通知乙方，否则，甲方将承担影响各种规定的时限所带来的后果。
4. Party A should explain the content of the affairs fully and exactly to the agent and provide the required documents timely
and cooperate with the agent actively. Party A should provide the contact person’s name and detailed postal address to
the Party B and inform Party B timely in written if the correspondence information was changed. Otherwise, the Party A
will undertake the consequences brought about by the various provided time limits.
五. 乙方应按甲方提供的联系人及通讯地址及时向甲方传达官方的有关文件，和要求甲方办理的相关事务。
5. Party B should forward the official documents and the related affairs which need to be handled by Party A to Party A
according to the contact person’s name and detailed postal address provided by Party A.
六. 甲方在办理委托手续的同时应向乙方支付官费和代理费合计美元 （US$ ），付款方式
；甲方如不及时付费，乙方将中止代理。
6. Party A should pay the official fees and attorney fees to Party B while Party A is entrusting Party B to be Attorney-in-
Fact. The amount is USD_________ _____ （USD ）; Payment term:

If Party A does not pay for the attorney fee in time, Party A will terminate the agent business.
七. 甲、乙双方均不得随意变更或中止合同。
