Partner Ready for Networking Deal
Registration Program Terms

Effective 1 November 2022


The Partner Ready for Networking Deal Registration Program Terms (“Program Terms”) define the Partner Ready
for Networking Deal Registration (“Program”) business process and terms and conditions in conjunction with and as
an addendum to your HPE Partner Agreement and the HPE Partner Ready Program Terms. To qualify for the
Program, you must have a valid HPE Partner Agreement. In the event of any conflict between these Program Terms
and the HPE Partner Agreement and/or the HPE Partner Ready Program Terms, these Program Terms will govern
any subject matter of this Program, in accordance with section 16.k of the HPE Partner Agreement. Capitalized terms
not otherwise defined in these Program Terms are defined in the HPE Partner Agreement.
Unless requested to accept these Program Terms online or otherwise, you agree that your participation in the
Program constitutes acceptance of these Program Terms and is subject to the following:

1. Program Description
1.1. Program Objective
The Program is designed to reward and protect Resellers to develop and win sales opportunities for networking
Products with Customers as described in Section 3.1. A Reseller who successfully registers a networking opportunity
will receive discounts for the Deal in accordance with these Program Terms.

1.2. Registration
Reseller must submit via the HPE Partner Ready Portal each opportunity for which it wishes to obtain discounts under
the Program, which opportunity will be called ‘Deal’ as from the registration date.
Following registration, HPE will verify the Reseller’s contributions to the Deal. Based on HPE’s assessment, HPE will
decide whether to approve or refuse registration and shall confirm its decision to Reseller in an email which shall
contain a Deal registration number. If approved, the Deal Registration number must be referenced on Reseller’s
purchase order to receive the additional discount (the ‘Communication’). HPE may contact Reseller to discuss the
opportunity and require Reseller to provide additional information (including but not limited to data related to
Customer’s requirement for networking solutions, meetings held with Customer and other specific
Reseller efforts to introduce and position the networking Products) in order to assess Reseller’s contributions to the
Deal. HPE reserves the right to require a joint phone call, meeting or online meeting with the Customer to confirm
the opportunity information submitted in the Deal registration.
An approved Deal will provide Deal registration status for the Deal for the applicable Reseller for the period
mentioned in Section 4.1 of these Program Terms (the ‘Validity Period’), commencing on the date of submission.
HPE will be entitled to extend the initial Validity Period in accordance with Section 4.1 commencing the date of
written approval.

A Deal may be registered once only, meaning that for each Deal only one Reseller will be approved under the
Program. Incremental business (multiple Purchase Orders) for the Deal identified during the Validity Period shall also
qualify for Deal Registration.
1.3. Multiple applications
In the case of multiple applications for the same opportunity, HPE reserves the right to determine which Reseller
qualifies under the Program based on each Reseller’s comparative contributions and taking into account the
information provided by the various applicant Resellers.

1.4 Revocation of Deal Registration

HPE reserves the right, at its sole discretion, to revoke an approved Reseller’s Deal registration and refrain from
applying discounts under the Program, in exceptional circumstances, including, but not limited to, the following:
(i) HPE determines that the Reseller is already quoting on the same deal with competing products;
(ii) HPE determines that the registration requirements have not or are no longer being fulfilled by Reseller;
(iii) The Deal registration was accepted in error;
(iv) There are duplicate registrations in place;
(v) The Customer requests a change of Reseller,
(vi) The Customer requests release of the Deal registration. In such cases, no partner will receive Deal
registration.

2. Program Prerequisites
Reseller must either be a member of the Partner Ready for Networking Program or have achieved Partner Ready
Business Partner level status and meet the applicable “HPE Partner Ready Program Terms” throughout its
participation in the Program. For “HPE Partner Ready Program Terms” visit the HPE Partner Ready Portal.

3. Program Requirements
3.1 The following requirements shall apply to register an opportunity for Deal registration:
• Scope: Deal registration is available for the following Product Families:
- Airwave/Central on Prem
- Campus Switching
- Core Switching
- Top of Rack/Access Switching
- IMC Management
- ClearPass & Introspect Family
- WLAN - AP's
- WLAN – Controller
- WLAN – Instant Family
- WLAN - Outdoor/Remote AP's
- SD-WAN
- Mobile Engagement
- Routing
- Software Subscriptions

Applies to PLs = I6, NT, WB, NV, PV, PW, VL, 35, 34, L3, L5, I7, VN, & XB only
Not eligible for Instant On Family, Services and IoT product lines (PLs = NC, X8, X9, Q0, PY,
XA, RZ, SO, SE, SC, WA). Not eligible on RMAN (remanufactured products)

• Opportunity: this may be either an opportunity with a new Customer for networking Products or a new project
with an existing Customer as approved by HPE and requiring substantial pre-sales investment by the Reseller
(for example involving new networking technologies or a new Customer branch or subsidiary).
• Tenders and Public Sector Customers: Deal registration is not permitted for tenders issued by public or
statutory bodies (“Public Tenders”). Such Public Tenders commonly occur in the SLED, E-Rate and US
Federal government transaction environments.
• Minimum Deal Value: Each Deal must reach a minimum net value of USD $2,000 based on net estimated
purchase order value.
• Pre-sales activities: Prior to registering an opportunity, all pre-sales activities must be fully completed,
including
• Identifying a requirement for networking solutions
• Qualification of Customer budget
• Meeting(s) with Customer
• Defining Customer requirements

Complete applications for Deal registration must be submitted in the form required by HPE as early as possible
in the sales process and at the latest ten (10) days prior to any orders being placed.

• Customer: only opportunities with Customers located in Reseller’s contractual Territory may be registered.
Reseller agrees to provide complete Customer contact information to HPE, and shall ensure that it is entitled
to transmit such data in compliance with (i) applicable data protection laws and (ii) Reseller’s obligations as
set forth in Reseller’s agreement with the Customer.
Reseller agrees that any networking Products subject to a Deal registration must be re-sold and delivered to
the Customer for which the Deal is approved for such Customer’s internal use only and not for re-sale or
resupply to another party. Non-compliance with this requirement will be considered a material breach of
Reseller’s HPE Partner Agreement.
● Distributor Nomination: Reseller must nominate one Distributor when it registers the Deal. This nomination
shall remain valid for the Validity Period and Reseller will not be able to receive discounts under this Program
for purchases from an alternative Distributor unless it has obtained written approval from HPE for such an
exception. HPE may grant exceptions in the following situations without limitation:
• If networking Products are not available, upon Reseller’s nomination of the original Distributor;
• If a credit line is not available, on Reseller’s nomination of the original Distributor;
• If Reseller reasonably demonstrates that the original Distributor did not add value to the Deal;
• If Distributor is not authorized to sell the Products.
This requirement is intended to protect the Distributor’s investment in the Deal and assist in gaining
Distributor support for the Program. Outside the provisions of this Program the Reseller shall be free to
purchase networking Products from other Distributors and may be eligible for other benefits.
When placing an order with its nominated Distributor, Reseller needs to provide the Deal Registration
number and Customer name to Distributor. If no valid Deal registration is in place at the time of placing the

order with Distributor, the additional discount may be refused. Orders must be shipped prior to expiration of
the Validity Period.

4. Program Benefits
4.1 Following HPE’s Communication of approval of the Deal, the following shall apply:
• Deal registration Discounts: HPE shall provide a Deal registration discount for the Validity Period.
The level of Discount is set out in Attachment 1.
• Deal registration Validity Period: Six (6) months commencing on the date of the Communication.
The Validity Period may be extended once only for an additional six (6) month period subject to HPE
approval. The validity period for E-Rate deal registration transactions may be extended for a total
Validity Period of eighteen (18) months as defined by the applicable governing entity (applies to USA
only).
• Deal registration discount cannot be added (stacked) to any other special pricing or promotional
programs offered by HPE.

5. Compliance with Program Terms


5.1 In addition to the remedies specified in the HPE Partner Agreement and any other rights and remedies HPE
may have, in the event Reseller fails to comply with any of these Program Terms, HPE may, to the extent
permitted and subject to the law applicable to the HPE Partner Agreement, implement one or more of the
following remedies, with immediate effect or with advance notice, as indicated in HPE’s written notification,
and without judicial recourse:
i. Revoke any existing Deal registration;
ii. Claim reimbursement of any misused or unauthorized Deal registration Discounts;
iii. Exclude Reseller from the Partner Ready for Networking Deal Registration Program; and/or
iv. Exclude Reseller from HPE Partner compensation programs and other HPE Partner programs.

6. Program Participation
6.1. Reseller may terminate its participation in the Program at any time with or without cause subject to written notice
to HPE.
6.2. HPE may terminate Reseller’s participation in the Program by written notice with immediate effect, should:
(i) HPE reasonably suspect or find Reseller to have been engaged in intentionally erroneous or fraudulent
Deal registration (including but not limited to deceptive conduct, misrepresentation, concealing material facts
that would have led to a different decision and violation of anti-corruption laws), or
(ii) Reseller fails to comply with any of the Program Terms following a written request from HPE to remedy the
situation within ten (10) working days.
6.3. Participation in the Program shall automatically terminate when either the HPE Partner Agreement or
(membership of) the HPE Partner Ready for Networking Program is terminated or expires.

7. Program Changes and Termination
7.1 HPE may change or terminate the Program Terms at any time. Changes or termination will be effective thirty
(30) days from the notification date and will be posted on the HPE Partner Ready Portal.
7.2 At its sole discretion, HPE may suspend the Program at any time with immediate effect for specific networking
Product group(s) as indicated by HPE however during such suspension the Program will continue to apply for
all Deals approved by HPE before the suspension came into effect.
