AGREEMENT FOR SECURITY SERVICES

This Security Service Agreement is made at Noida on this 4th May 2024.

BETWEEN

M/s ........................, having its corporate office at A-5, Sector 64, Noida 20130 and their factory
situated at A-14, Hosiery Complex, Phase-II, Noida-201304 (hereinafter referred to as “the
factory”) (which will be represented by the AGM HR of the factory Mr. Teeka Chaudhary) of
the ONE PART

AND
M/s V5 Security & Cleaning Service having its corporate office at B S Complex- office no.4
Bishan Pura Sector 58 Noida 201301 (hereinafter referred to as “the contractor” which
expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean
and include its successors and assigns) and represented by Mr. Vipin Kumar Sharma (Proprietor)
of the OTHER PART.

Whereas the contractor is engaged in the work of taking up a security contract which is
performed through experienced personnel.

NOW THESE PRESENTS WITNESS AND THE PARTIES HERE TO AGREE HEREBY AS
FOLLOWS:

1. The contractor hereby agrees to render and to avail the security services to ........................at
A-14 Hosiery Complex Phase-2 Noida 201304.

DURATION OF THE CONTRACT

2. The Agreement shall be in force for a period of 11 (Eleven) months from 04th May 2024. This
Agreement will expire on the last day of 11 thSeptember 2024, unless terminated by either party
by issuing a termination of 30(Thirty) days prior to the termination date. The Agreement may
renew for a further period subject to the mutual consent of the parties hereto in the expiry or
11(Eleven) months.

3. The contract may be terminated forthwith by the factory by giving written notice to the
contractor if:

a. There are some serious laps on the part of the contractor in providing a service to the
factory. The contractor is in material breach of its obligation under this agreement and in
case of such breaches are capable of being remedied, fails to remedy that breach within
thirty days of receiving notice of such breach.
 b. The contractor may withdraw the security personnel from the same site by giving notice
30 days advance from the actual withdrawal of security personnel, in case of any breach
of this AGREEMENT.
4. That the contractor shall provide security guards / Gunman , ( number /requirement of
security personnel will be decided by the Factory from time to time duly consulted with the
other part ) who shall come every day to work in the premises of the Factory .Since The
staff deputed by the contractor shall work on all the days of week, and amount of salary is
worked out on minimum wages base & for 26 working days only However, other part is
agree to ensure the security coverage for all the days of month & round the clock .
However, the Factory may at its discretion direct the contractor to follow changes in timings
as and when it deems fit in the interest of the Factory.

5. The security guards provided by the contractor will be for 24 (twenty-four) hours duty a day
in the shift of 8 (Eight) hours and shall provide complete security arrangement and protection
of the said premises round the clock. Timings may be changed by the Factory at its sole
discretion and the contractor shall be intimated about the same.

6. The Factory shall give the watch men’s hut at the gate and at the place where the security
guards to be deployed of the said premises to the security guards and the guards shall check
all the vehicles and personnel entering in to and going out of the said premises as per the
instruction issued by the Factory representative from time to time and shall maintain proper
record of the vehicles personal and personnel material coming and going out of the premises.

7. That the contractor shall be fully liable to own responsible for the replacement of manpower
which may not come on duty due to sickness or casual absence or otherwise without and
extra charges. However, continuity of manpower will be maintained by contractor. No
frequent changes of manpower will be allowed however the emergency like sudden absent,
sickness and one reason or other can’t be over ruled). The factory will have privates of
contract with the contractor only and will give instructions to him only. The Factory will
have no concern and will not directly deal with personnel provided by the contractor.

8. The security personnel shall not be allowed to leave the premises unless any urgency arises
with specific permission of the administration department of the Factors.

9. That the responsibility of payment of minimum wages, overtime, if any and deduction of
E.P. F & E.S.I.C.as applicable under law in respect of contractor’s employees deputed to the
Factory premises shall entirely be that of the contractor. The details of the wages paid’
documents in support of payment of E.P.F & E.S.I.C. shall be furnished by the contractor as
required and directed by the Factory time to time.

10. The contractor is registered with E.P.F & E.S.I.C. and his registration No. is as under (photo
copy of E.P.F NO.48897, E.S.I.C No. 67000393900001018.)
 11. The contractor at his own expenses shall provide its Security Guards with necessary uniform,
arms, outfit etc. required for the effective discharge of security services to the Factory and
some insignia by the contractor, so as to be easily identified as security guards.

12. That the contractor will deploy trained and uniformed personnel and will use its best
endeavors to operate the services. If the management find any security guards Physically unfit or
not properly dressed, the management will be entailed to ask The contractor to have him replaced
by other person.

13 The contractor shall ensure that the security guards provided by it maintain Discipline
and behavior and they shall not in any manners cause interference, Annoyance, nuisance to the
management of the Factory or its officers/ Employees / other contractors.

14 The contractor agrees and undertakes that the security services provided by the
security guards shall be to the entire satisfaction of the Factory and the contractor will make
it clear to the security guards that the later are employees of the contractor and they shall
have no claims against the Factory and the Factory shall not be liable to wages salary,
compensation and any statutory benefits due to the security guards under the labor law and
other legislation and the contractor shall be responsible for providing such amenities to its
employees admissible under the law /rules/service conditions.

15. The contractor will indemnify the Factory against any claim, loss and damage, occurred, or
caused to the Factory due to willful acts or omissions or negligence of the security guards
employed by the contractor, while on duty. The Factory will not
Provide accommodation to the security guards/ Gunman inside the premises,

16. that, the Factory will not, in any manner, be responsible for any act, omission or commission
of the manpower engaged by the contractor and no claims in these respects will lie against
the Factory. If any such claims are made against the Factory by his worker who are engaged
or employed by the contractor which the company is obliged to discharge by virtue of any
statuary or any provision of law and rules due to the bare fact of the worker of the contractor
being at the Factory premises or otherwise. The contractor will be liable to indemnify /
reimburse the Factory all the money paid in addition to the expense incurred by the Factory.

17. The Factory will not be entitled to retain any control, supervision or the manner of
discharge, dismissal or retrenchment or re-employment of manpower engaged / employed by
the contractor.

18. In the event of any loss incurred at the Factory, premises, a joint inquiry would be held to
establish the responsibility for the lapse resulting into the loss. If as a result of this inquiry it is
established that the loss occurred is due to the negligence only on the part of the contractor’s
 personnel, in that eventuality contractor would be liable to make good the loss in part of full
as is finalized between the Factory and contractor.

19. The contractor will also work as security advisor to the Factory, who will apprise the short
comings to the represented of the Factory as and when any lacuna is observed / noticed, or any
problem related to the Security is faced and will also suggest remedial measures in the interest
of the Factory.

20. Nothing in this Agreement shall be considered to mean that then contractor is an employee,
agent or representative of the Factory. In the performance of services hereunder, the
contractor shall be an independent contractor with authority to control and direct the
performance of its employees subject to Factory right to give instructions, supervision and
inspection of contractor’s personnel.

21. That the following monthly charges are agreed upon and shall be payable to the contractor for
rendering satisfactory security services to the Factory,

Security Gds : Rs 16643/- PM (8 hours)

Gun Man : Rs 18414/- PM (8 hours)

Requirement of man power: The break- up of the manpower will bias under:

Day Shift 8 hrs. Duty 08 Security Guards ( Male )

22. The contractor shall submit invoice for charges within 3 (three) working days from the end of
each calendar month. The Factory shall make payment in respect of all invoices submitted
under this agreement within 10 (Ten) working days from date of receipt of invoice.

23. NOTICE Any notice required to be given under the contract shall be in writing and must be
left at the address of the party to whom it is addressed (the recipient) or sent by pre-paid
ordinary post or registered post or by courier to the address of the recipient, or sent by the
email. of the recipient which is specified herein below: (or if the recipient has notified another
address, then to that address or email.)

 SETLEMENT OF DISPUTE

24. Any claims, dispute or difference arising out of or relating to this contract including
interpretation of its terms will be resolved joint discussion of the Authorized Representative
of the concerned parties. However, if the disputes are not resolved by the discussion then the
matter will be referred for adjudication to the sole arbitrator appoint by the parties in
accordance with Arbitration and conciliation Act. 1996 including any modification,
amendment thereto. The venue for the Arbitration will be Noida and the decision of the
Arbitrator shall be final and binding on the parties.

The contract is governed by the laws of India and shall be subject to the exclusive
Jurisdiction of the courts in Gautam Budh Nagar.

25. This agreement shall supersede all/any prior arrangements oral or written, entered into by and
between the parties and the provisions hereof shall not be omitted, added or amended in any
other manner whatsoever except in writing signed by both the parties
