INTRODUCTION

What is this document?


This Document sets out details of your obligations as a F45 Franchisee, and provides information that is referred to in your Agreement and the
Operations Manual. In particular, this Document sets out important information regarding the installation and overall appearance of your Studio.

Updates to this Document


This Document will be updated from time to time as the need arises. We encourage you to keep up to date with the policies and procedures on the F45
Intranet, which are accessible via F45Playbook.com. Where we make an amendment or otherwise update the requirements set out in this Document,
we will provide you with a reasonable amount of time to effect any changes required for your Studio.

Policies and Guidance


Parts of this Document provides guidance, while other parts set out policies and procedures that you are required to follow as part of your
Agreement with F45. If the Document says you must do something or uses similar words, this is a requirement rather than a guideline, and you
are expected to comply with the requirement. Failure to do so may be a breach of your Agreement, which if not remedied, could lead to the
termination of the Agreement.

Your Obligations
You have various obligations under the terms of your Agreement, this Document and other policies and procedures introduced by F45 from time to
time. You must familiarise yourself with your obligations under each of those documents.

We reserve the right to ask you for information, documents and or receipt to verify your compliance with your obligations under this Document or your
Agreement. If requested, within the time specified (if any) or, if no time is specified, as soon as possible.

If you have failed to comply with your obligations under the Agreement or this Document, we may request you to do anything or act which we believe
is necessary (acting reasonably) to comply with your obligations.

Compliance with this Document


You must strictly observe the requirements set out in this Document, unless you obtain the prior written approval of F45.

We are here to assist with general advice on requirements for your franchise, however Advice and information within this Document cannot be relied
upon on or substituted for professional advice. Remember that every franchise is individually responsible for its business decisions and its legal tax and
accounting obligations. You should seek independent professional advice about these matters as needed.

Confidentiality
This Document is provided to the Franchisee and is a confidential document. You are required to keep it confidential except where the law allows
sharing. All the information in these documents is protected by copyright laws. It is not to be reproduced in whole or in part without the prior written
consent of F45. In managing your business, you will consult with your own lawyers, accountants and business advisers. In these instances, you have
permission to discuss these documents but none of the material may be copied by you or your advisers.

Ownership
This Document is on loan to the franchisee and is the property of F45 Group. It is on loan for the term of the Agreement. Any reproduction of this manual
is not possible without the prior written approval of F45. If your business finishes you must return this manual, along with any amendments, to F45.

Policies & Requirements


This Document does not set out the totality of your obligations. You must also adhere to any other policy or requirement implemented by F45 from
time to time.

Inconsistency with your Agreement


In the event that there is an inconsistency with the terms of this Document and the terms of your Agreement, the terms of your Agreement will prevail
to the extent of the inconsistency.

Interpretation
Unless indicated otherwise, capitalised term in this Document have the meaning given to them in Annexure A.

SIGNAGE REQUIREMENTS

F45 has strict signage requirements that relate to:

• Internal signage, that is the signage that appears inside your Studio (Internal Signage);

• External signage, that is signage that appears outside of your Studio including motor vehicles and alike (External Signage).

These requirements are set out in this Document.

Following directions from F45


Your Internal Signage and External Signage will vary depending upon the set up and layout of your Studio. F45 has the right, at its absolute discretion,
to determine the design, layout and the type of signage that needs to be installed in your Studio.
You will be required to submit to F45 your proposal for Internal Signage and External Signage for approval. You must follow any directions or requests
given to you by F45 in relation to the modification of your proposals.

Signage Approval
All signage inside and outside of your Studio must be approved by F45. You must obtain this approval prior to the installation or erection of any
signage. Once you have obtained this approval you must not alter or modify the signage in any manner and must ensure that the installation of the
signage strictly accords with the terms of the approval from F45. If your signage does not accord with that approval, your Studio will not be approved
to open.

Use a Professional
We highly recommend that you use a professional signage installer for your Internal and External Signage.

Sourcing of Signage
Usually, F45 will supply Internal Signage. If F45 supplies Internal Signage, you must use that signage for your Studio and must not source any other
signage. Additionally, you must not seek to have the Internal Signage painted on the walls, without the prior written approval of F45 (which will only be
granted in exceptional circumstances, as determined by F45). You are responsible for sourcing (and paying for) your External Signage, as these items
are not usually supplied by F45.

SIGNAGE REQUIREMENTS

Internal Signage Process


Once your site has been approved, you may submit your proposal for internal signage to F45 at any time, however we recommend that you wait until
your floorplan has been approved before you submit any proposal. Your proposal for Internal Signage must:

• be in a single document (either a PDF or PowerPoint presentation);

• show the walls the signage is to be applied to (in a photograph), with the proposed signage overlaid on top of the relevant image;

• show the measurements for the signage, so F45 can verify that the Internal Signage will be installed in accordance with its specifications; and

• include any additional details requested by F45 from time to time.

If you have engaged the services of a professional signage installer (which we recommend), they will usually be able to assist you in the process as a
part of their service.

External Signage
Your External Signage will vary depending on your Studio. You can submit your proposal for External Signage as soon as your site has been approved.
Your proposal for External Signage must:

• be in a single document (either a PDF or PowerPoint presentation);

• show the exterior surface of the Premises (in a photograph), with the proposed signage overlaid on top of the relevant image;

• show the measurements for the signage, so F45 can verify that the External Signage will be installed in accordance with its specifications; and

• include any additional details requested by F45 from time to time.

For external signage, you must engage the services of a professional signage installer, as you are required to source this signage separate to the goods
and equipment supplied by F45. Your External Signage supplier will usually be able to assist you with your submission of External Signage.

Modifications or alterations to signage


Once your signage has been installed you must not alter or modify the signage or install additional signage without our prior written approval. If you
making any such modification, you will be deemed to be in breach of your Agreement until such time that you rectify to F45’s satisfaction.

Paint Codes
The entire interior of a F45 Studio must be painted white, including the walls (from floor to ceiling), internal doors and also the ceiling, unless you have
obtained the prior written approval of F45. You do not need to paint the windows.
We set out below the paint codes for 4 of the top paint brands. Please refer to these paint codes when purchasing wall paint.

Internal Wall Logo


Every Studio must feature an internal wall logo (Wall Logo). The Wall Logo is

Internal Wall Racing Stripes


Except for the wall which features the Wall Logo, all walls must have racing
stripes, however only 2 walls may have the slogan ‘Team Training. Life Changing’ 70CM / 27.5” FROM THE FLOOR

Engage a Professional Signage Installer


We highly recommend that you engage the services of a suitably qualified

signage professional to install the signage in your studio. The F45 Internal
PREMIUM PRIMER
Signage is “high tack”, which means that once you affix it to the wall, you will not
be able to reposition the signage. If you install the signage and then attempt to
reposition, it will void any warranty claim associated with the internal signage
and may:

• damage the internal signage; and/or EU ZINSSER

It is important that the wall surface is adequately prepared prior to attempting 1 STEP PRIMER,
to affix the internal signage to the wall. In order to properly prepare the wall, SEALER AND UNDERCOAT
you (or your installer) must follow the instructions set out below. WATER BASED PRIMER

Clean and Repair


It is essential that you (or your signage installer) cleans and repairs the surface and
inspects for any objects that are likely to impair the application of a primer, paint
or signage. You must ensure that the wall surface is clean, smooth and free of
bumps or debris. The internal signage is a thin layer of PVC film and so any debris
or bumps on the application surface will show as bumps on the outer surface
of the sticker or prevent the signage from adhering properly. It is essential that
these be removed and that the wall is clean for a perfect installation.

Wall must be smooth, clean and completely dry before applying primer base
coat. It is recommended that walls have little or no surface variation and a
smooth texture. Repair any wall damage and return walls to ‘like new’ condition.
Walls that are not properly repaired may cause poor graphic adhesion. 15
INSTALLATION OF INTERNAL SIGNAGE

Examples of unsound walls include those with cracks, damaged or inconsistent surfaces, holes, incomplete patches, loose wall-board joints, overly
textured paint, moist, chipped, loose, flaking or peeling paint.

If the walls are flat brick with no mortar lines this is acceptable. In instances where it is not possible to achieve a flat brick finish please contact F45.
Moisture behind wall-board may cause the wall-board paper to release. Pay special attention to areas where condensation may occur, including walls
around cooling units, overhead windows or water pipes that could drip on the graphic.

Remove any wallpaper not securely bonded to walls. Do not apply the graphic over wallpaper, it won’t stick. Painting over wet or damp drywall compound
will retard paint drying and cause inconsistent graphic adhesion. Painting over dusty drywall will impair primer bond to wall surface.

Use a Primer
Our recommended primers are set out below. Primer should be allowed to dry for a minimum of 3 days.

Using The Correct Paint


It is essential that the wall surface be painted with a teflon free paint. Teflon is a component added to the paints to give it a “wash and wear” feature.
If you are unsure which paint to use, we recommend that you consult with a professional paint store or contact an experienced painter for their
recommended paints that are interior low sheen paints, without any barrier technology. In addition to the above, you should have regard to the
requirements set out below.

• Not all latex paints will be compatible with pressure sensitive adhesive (especially zero/low voc paints). Vinyl film should be tested in an
inconspicuous area to ensure that an adequate bond develops over 24 hours.
• No installation should take place until media and paint are deemed compatible.
• The end-user/applicator is responsible for ensuring all painted substrates have been processed and cured according to the paint
manufacturer’s specifications. Failure to follow these specifications may cause loss of adhesion and therefore reduce the vinyl graphic’s
durability and performance. This may lead to graphic failure and/or removal problems.

For the correct colors, please refer to section on paint colors to find the correct code and color reference. Our recommended paints can be seen on
page 7.

INSTALLATION OF INTERNAL SIGNAGE

Allow For Cure Period


As outlined above, you must paint the internal walls of your studio as soon as possible in order to allow the paint enough time to ‘cure’. Curing is the
process by which the paint dries, hardens, and releases vapours and solvents contained within the paint, over time. The cure time may vary depending
on how many coats of paint were applied to the relevant surface. However, you must allow the paint to cure for a period of not less than 30 days
prior to installing any adhesive internal signage. If you install signage before the paint has had time to cure, it will stop the curing process thereby
affecting the adhesive and causing the signage to peel.

Vinyl Application
The signage must not be installed until paint has cured.

• Proper cleaning and preparation of the substrate prior to application is critical to the success of the graphic.
• A final cleaning pass prior to painting with a 50% mix of water and IPA will ensure that the paint is dust free and ready for graphic
installation. Once the cleaning mix has dried (+/- 20mins) you may apply the graphics.
• Vinyls must be applied with a plastic squeegee or soft rubber roller being careful to minimize stretch while maximizing pressure.
• Use overlapping squeegee strokes beginning at the centre of the vinyl and extending completely over the edge to ensure the margins
are well attached.
• Margins are frequent sites of failure to attach due to poor initial attachment.

Banners have been created and are provided in your equipment pack. Banners are great devices to use when opening a new studio, recruiting new
customers or creating awareness if your studio is not in view of foot traffic on a sidewalk level.

equipment pack. Use these signs as internal directional signs to direct customers
once inside a building.

Desk Design
Only Studios with: (a) a minimum of 180sqm (1937.5sqft) of training floor
space; and (b) 25sqm (269.098sqft) for stretching and waiting space (205sqm
total/2206.6sqft), will be allowed to install a desk. Franchisees are permitted to
source their own materials/installation, but all designs must be approved by HQ
prior to sourcing and installing a desk.

ANNEXURE A - GLOSSARY OF TERMS

In this document, the terms set out below have the meaning given to them.

Agreement means the agreement entered into by you with F45 in relation to the operation of a F45 Studio in a Territory.

“F45”, “F45 Group”, “us” means the F45 group of companies and includes all related body corporates, associated entities and affiliates.
or “we”

Head Office
means the head office operated by F45 in your state or territory.

Premises
means the premises from which the Studio will be operated.

Studio means a F45 Training studio.

You means a F45 Training studio.
