SUBJECT: Order for Supply and Commissioning of 6No. 18TR Water Cooled Scroll Chiller for
MES project at Digaru, Assam.

Ref : AP/JA/MES, Digaru, Assam/2024-25/R0, dated: June 24th, 2024.

Dear Sir,

In inviting a reference to the subject we are pleased to issue this Purchase Order on you for the Supply
and commissioning of Daikin make 6 No. of 18TR Capacity WATER COOLED SCROLL CHILLERS.
The P.O. is subject to the following terms & conditions:

Note: The first 3 chillers will require for phase 1 on immediate basis & the balance 3 chillers will be
required in phase 2 after couple of months.

TERMS & CONDITIONS:

The above mentioned prices are subject to following terms and conditions:

1. PRICES: FOR Site price including first Charge of refrigerant, insulation and commissioning of
chiller.

2. DELIVERY: The vendor agrees to deliver the chiller within 4-6 weeks from the date of receipt of the
Purchase Order (PO) and advance.
3. Price Validity: The price is valid if the chiller will dispatch from factory latest by July/August
2024.

4. WARRANTY UNDER ON CHILLERS: 12 Months from the date of Commissioning or 18 Months


from date of shipment, whichever ends earlier.

5. LIMITED WARRANTY

Limited Warranty: The Company warrants that it will provide free replacement parts in the
event any product manufactured by the Company and used in the United States or Canada
proves defective in material or workmanship for a period of twelve (12) months from initial start-
up or fifteen (15) months from date of shipment, whichever expires sooner. Goods not
manufactured by the Company but also sold under this agreement are warranted only to the
extent that the manufacturer warranted them to the Company or directly to the Purchaser.

The Company's liability to the Purchaser shall not exceed the lesser of the cost of correcting
defects in the goods sold or the original purchase price of the goods, and the Company shall not
in any event be liable to buyer or third parties for any delays or special, indirect, or
consequential damages.

The Company's warranty does not apply to any goods which have been opened, disassembled,
repaired, or altered by anyone other than the Company or its authorized service representative
or which have been subjected to misuse, misapplication, or abuse. The Company is not
obligated to pay any labor or service costs for removing or replacing parts, or any shipping
charges. Refrigerants, fluids, oils, and expendable items such as filters are not covered by this
warranty. This parts warranty and any optional extended warranties are granted only to the
original user. Company's duty to perform under any warranty may be delayed, at Company's
sole option, until Company has been paid in full for all goods purchased by Purchaser. No such
delay shall extend the warranty period.

For additional consideration the Company will provide an extended warranty(ies) on certain
goods or components thereof. The terms of the extended warranty(ies) are shown on the
extended warranty certificate(s).

To obtain assistance under this limited warranty please contact the selling agency. To obtain
information or to gain factory assistance, contact McQuay International, Warranty Claims
Department, 4900 Technology Park Boulevard, Auburn, New York 13021-9030; telephone (315)
253-2771.

This warranty constitutes the Purchaser's sole remedy. It is given in lieu of all other warranties,
express or implied. There is no implied warranty of merchantability or fitness for a particular
purpose. In no event and under no circumstances shall the Company be liable for incidental or
consequential damages, whether the theory be breach of this or any other warranty, negligence,
or strict tort.

The Company must receive a start-up information report for goods containing motor-
compressors and/or furnaces. The registration/start-up form must be completed and returned
to the Company within ten (10) days of original equipment start-up or start-up date and ship
date will be deemed the same for warranty determination.

No person (including any agent, salesman, dealer or distributor) has the authority to expand
the Company's obligation beyond the terms of this express warranty, or to state that the
performance of the product is other than published by the Company.
6. PAYMENT TERMS:
i) 900000 ( Rupees Nine Lakh advance along with the PO
ii) balance against readiness of the material before dispatch of the chiller.

7. SAFETY TERMS

Electrical Safety: Emphasize the importance of working on electrical components only if


qualified and following proper electrical safety procedures to avoid electrical shocks or fires.

Ladder Safety: If work involves accessing elevated areas, stress the importance of using
appropriate ladders or scaffolding and following ladder safety guidelines to prevent falls.

Handling of Refrigerants: If refrigerant handling is involved, emphasize proper procedures for


handling, storing, and disposing of refrigerants in accordance with environmental regulations.
Technicians should be certified for handling refrigerants.

Protective Equipment (PPE): Require all personnel involved to wear appropriate PPE such as
safety goggles, gloves, hard hats, and steel-toed boots to protect against potential hazards.

Ventilation: Ensure adequate ventilation in the work area to prevent exposure to refrigerants or
other harmful substances. If working in confined spaces, follow confined space entry protocols.

8. PRODUCT REPLACEMENT IN CASE OF DAMAGE:

In the event that the purchased product is received in a damaged condition at our site, the
vendor shall be responsible for replacing the damaged product in the shortest possible time.
The vendor shall bear all costs associated with the replacement, including shipping, handling,
and any other relevant expenses.

9. VENDOR ACKNOWLEDEMENT

Vendor should acknowledge receipt of this purchase order and confirm acceptance of the terms
and conditions mentioned herein. Vendor shall sign and return a copy of this purchase order as
an official acceptance of the order.

10. CHILLER SPECIFICATION

All technical specifications regarding the chiller are detailed in Section I, II and Section III of the
quotation, provided as Annexure 1 to this work order. It is imperative that these specifications
are adhered to throughout the duration of the project.

11. VENDOR’S RESPONSIBILITY

Responsibility for damage during transportation: If the product is damaged while being
transported to its destination, the responsibility lies with Daikin (presumably the company
responsible for manufacturing or supplying the product). This means that if the product arrives
at the installation site in a damaged condition due to issues during transportation, Daikin is
accountable for addressing and potentially replacing or repairing the damaged product.
Responsibility until completion of installation: The clause seems to indicate that once the
product is delivered to the installation site, Daikin remains responsible for any damage to the
product until the installation process is completed. This suggests that if the product sustains
damage during the installation process itself, Daikin is still liable for addressing and rectifying
the damage, rather than the responsibility shifting to the client.

12. TERMINATION

The client reserves the right to terminate the work order if Daikin fails to complete the work
within the agreed-upon timeline or if any alterations to the chiller occur, such as a change in
model or specifications.
