charged and the above-mentioned tax rate are indicative only. Other terms & conditions are
attached herewith for your reference.

TERMS & CONDITIONS

1. Price
The prices quoted are ex-works Chennai. The prices quoted are exclusive of all taxes/duties/levies,
packing, forwarding, transit insurance & transportation charges which shall be payable extra at
actual at rates prevailing at the time of supply and will be applicable in case the purchaser desires
the manufacturer to dispatch the equipment on his behalf.
2. Payment Terms
20% value of the order as advance along with the order and balance 80% plus 100% of statutory
levies/taxes & freight, insurance, etc., if applicable, are to be paid before dispatch of equipment
from our works. The payments may be made by Demand Draft in favour of 'Komatsu India Pvt Ltd'
drawn on a Scheduled Bank at BANGALORE. Bank collection charges, if any, will be to purchaser's
account. Interest @ 22% per annum shall be charged for dues to 'L&T Construction Equipment
Limited'.
3. Delivery
Within 3-4 Weeks from the date of receipt of firm workable order along with advance as above.
4. Manufacturing Warranty
All goods are warranted against defective material and workmanship for a period of six (6) months
or 1000 hours of operation, whichever is earlier, from the date of delivery ex-works. Seller's liability is
limited to the repair or replacement of the parts which are proved defective within the above said
warranty period in normal operation, to original buyer only, provided the product h5s been used in
accordance with the instructions and not subjected to misuse, negligence or modification or
repaired by any person other than authorized employee/ dealer of the company and also is free
from any damage due to any accident. This warranty, however, does not cover ground engaging
tools, electrical items, dampers, pads, etc., normal wear and tear and failures due to improper
handling of the equipment. Seller's liability is limited to the repair/replacement of the defective parts
and does not cover any direct or indirect losses suffered on this account and no claim for
consequential damages will be entertained. Manufacturer's/representative's decision as to cause of
failure will be final.
The customer shall not be entitled to normal warranty as above and also to the parts/service support,
in case any payment due from customer has not been settled on due date, including dishonor of
cheques, nonpayment of HSBC installments on due dates, etc. Further, it shall be customer's
responsibility to bring the equipment to the service station, if required by the manufacturer.
5. Specifications
a) Notwithstanding any statement made in the specifications or any other information contained
in any of seller's/his collaborator's publications, the seller/his collaborator reserves the right to make
such changes and alterations, without notices, in design, materials or manufacture as may be
considered necessary for the equipment offered without any contractual obligations.
b) The seller is not bound to supply-components with proprietary names (such as engine, tiers,
batteries, etc), if any, indicated in seller's/collaborator's specifications and the seller reserves the right
to make such substitutions as considered necessary, from any other sources, either imported or
indigenous Seller's decision in this respect shall be final.
c) It is also understood that the seller reserves the right to bring out improvements/modifications to
equipment offered and the buyer shall not claim, as a matter of right, such
improvements/modifications to be carried out on machines, which have already been delivered. If
feasible, such improvements/ modifications can be carried out and the costs shall be borne by the
buyer.
6. After Sales Service
After taking delivery of the machine, we shall depute our service representative to your work site for
commissioning the machine as early as possible. Warranty terms require that you should get the
machine commissioned by our representative. He will also train your operators/mechanics in the
proper operation and maintenance of the machine, if need be. This service will be available to you,
free of charge at your option for a continuous period of one week. You shall provide free of cost,
necessary tools, tackles, etc., and labour for commissioning of the machine. Also, accommodation
and transport to our service representative are to be provided by you at your place free of cost.
7. Force Majeure
The buyer shall not be entitled to take objections or make any claim if the manufacture or supply or
shipment or transport or delivery of the goods be prevented or hindered or delayed by any shortage
of material, shortage of electric power, strike, accident, lockout, disorganization of labour or
transport, riot, civil commotion, accident at works, breakdown of machinery inevitable or unforeseen
event, embargo, restraint force majeure, acts of God, frost, fire, storm, tempest, flood, earthquake,
late delivery or non-delivery due to default by manufacturer or suppliers or any other cause of
whatsoever nature beyond the control of the seller. jbcstonemetals@[Link]
8. Price escalation
Prices quoted are based on ruling cost of raw materials and components and other inputs whether
locally procured or imported or otherwise and ruling rates of charges, taxes, duties, levies,
assessments, valuations, classifications, foreign currency parity rates and all other outgoings of
whatsoever nature. Any increase in the seller's prices on account of any or all of the above factors
as also, impact, if any of government levies, including budgetary levies which are beyond seller's
control shall be payable by the buyers and shall be reckoned for determining the actual price
payable at the time of actual delivery.
Further, it is agreed that, subject to above, the price shall remain firm as quoted, only for the period
of the offer. In case of delay in finalizing the deal, the prices shall be renegotiated.
9. Order cancellation
The offer is subject to the condition that in the event you desire to cancel the order for any reason
whatsoever at a later date, the manufacturer may levy cancellation charges.
10. Validity
This offer shall be valid for 30days. Thereafter; it is subject to our written confirmation as regards
delivery and price.
11. Arbitration / Court of jurisdiction
All disputes to this offer or relating to the price of goods supplied there under or otherwise arising
there from between the seller and the buyer shall be subject to and be referred to the Court of
competent jurisdiction situated within the limits of Bangalore City.
The term "Seller" means Komatsu India Pvt Ltd and "Buyer" means the Purchasers, which term includes
his/their heirs, legal representatives, permitted assigns and successors.
