Qualcomm will provide you allowances and reimbursements as indicated in the annexure to this offer letter, All salary,
allowances and reimbursements will be paid less required withholdings and in accordance with the applicable policies and
procedures of Qualcomm, as may be amended or modified by Qualcomm from time to time.

TERMS OF EMPLOYMENT

1. POSITION, REPORTING AND LOCATION

Position: The Company will employ you in the position Data Analyst , Job code no. 5103 or such other position of an
equivalent of status as determined by the Company from time to time.

Reporting Relationship: You will report to Sr. Manager, Research and Analyzing Department orsuch other position as
directed by the Company from time to time.

Location: You will be located in the Company’s office at Bangalore, (“Remote”). Your Place of Employment may vary
from time to time as required by the Company. The Company may relocate your job at its discretion.

Travel: The Company may require you to travel domestically and internationally for the purpose of performing your
duties, using such transport as reasonably directed and paid for by the Company.

2. COMMENCEMENT AND TERM

Commencement: Your employment will begin on 3rd December 2025. This will be your service date with the Company for all
service- 10th related entitlement purposes.

Probationary Period: Your initial employment will be for a Probationary Period of three months. During this period, the
Company will monitor your suitability for continued employment. During the first 60 days of your Probationary Period,
the Company may terminate your employment by providing 15 days’ notice or by paying you your Base Pay, as defined
below, for such period in lieu of notice. Your employment will be deemed confirmed if it continues past the end of the
Probationary Period. The Company reserves the right to extend the period of probation at its sole discretion.

Term: Your employment is intended to be for an indefinite period subject to your successful completion of the
Probationary Period and termination in accordance with the Employment Agreement and the requirements of applicable
law.

3. PAY AND BENEFITS

Base Pay: Your annual salary is INR 9,67,000. The initial components of your Base Pay are detailed in Schedule A of this
Employment Agreement. You will be paid on a monthly pay cycle on pay dates established by the Company.

Your Base Pay includes payment for all hours you work (whether part of normal working hours or not) and public
holidays (whether you work on those days or not), subject to the requirements of applicable law. Any pay and/or
benefits apart from your Base Pay will be discretionary. We set out below key current discretionary pay and benefits.
Information about any other discretionary benefits will be provided to you separately. The Company may stop providing
or change these discretionary pay and benefits and the terms on which they are provided at any time. Should the
Company do so, you will not be eligible to receive any pay or benefits in lieu of these. That the Company has provided
these discretionary pay or benefits in the past does not create any commitment for it to do so in the future.

Other: To the extent permitted by law, the Company may deduct from any monies it pays to you any monies you owe
to the Company. All payments made to you under this Employment Agreement are subject to deductions and/or
withholdings as required by applicable law. You are responsible for the payment of income tax payable in respect of
any payments and benefits made to you by the Company in respect of your employment. The Company will reimburse
you for reasonable business expenses that you incur while performing your duties, subject to and in accordance with
the Company’s applicable expense policies.

4. WORK HOURS AND SCHEDULE

Your normal work schedule is 9.30 a.m. to 6 p.m. on Monday through Friday, for a total of 40 hours a week, excluding
meal and rest breaks. From time to time as reasonable, the Company may modify your normal work schedule and
hours in its discretion.

5. DUTIES

You agree to perform your duties to the Company to the best of your ability. In performing these duties, you must:
Follow the law; Follow Company policies including, but not limited to the attached Code of Business Conduct, which
is incorporated into this
Employment Agreement by reference;
Act in the Company’s best interests; and
Devote your time to Company work during working hours and not perform work for any other entity without the
Company’s prior written consent.

6. LEAVE

You are entitled to sick leave and 21 days’ annual vacation in accordance with applicable Company policy and law.
Unless stated otherwise, any payouts for vacation and leave will be based on your Base Pay only. The Company will
grant any other leaves in accordance with applicable law and Company policy. You must notify the Company
immediately of every absence from work and its probable duration. Upon request by the Company, you must promptly
provide the Company with reasons for the absence. If you take sick leave, you must provide a medical certificate for
any absence of more than 3 days.

7. TERMINATION

Termination Without Notice: The Company may at any time terminate your employment without notice or any payment
in lieu of notice if you are guilty of serious misconduct as defined by local law, including without limitation:
Willfully, or deliberately, behaving in a way that is inconsistent with your obligations under the Employment
Agreement, including each of its attachments.
Committing any act or omission that causes imminent, or serious, risk to the health or safety of a person or the
reputation, viability or profitability of the Company’s business.
Engaging in theft, fraud or assault in the course of your employment.
Engaging in unlawful harassment and/or breaching the Company’s sexual harassment policy; and/or Refusing to
carry out a lawful and reasonable instruction.

Termination With Notice or Pay in Lieu Of. After the first 89 days of the Probationary Period, you or the Company may
terminate your employment without cause by providing the greater of one month’s notice or the amount of notice required
by local law. You agree you are not entitled to any additional payments, except as required by law.
Once notice is given, the Company may choose to: (1) have you continue to work in your current or another role during
the notice period; or (2) direct you to not report to work during the notice period; or (3) if it has given notice, terminate
your employment with immediate effect by paying you your Base Pay for your notice period (or any remaining part of your
notice period), (4) if notice has been given by you, at its sole discretion waive all or part of the notice period, or allow you
to pay in lieu of the notice period (or any remaining part of the notice period), or (5) implement any combination of (1)
through (4).

Termination for Ill Health: If, at any time, you are prevented on account of ill-health or accident or any physical or mental
disability from performing your duties hereunder, you shall inform the Company and supply it with such details as may be
required, and if you are unable by reason of ill-health or accident or disability, for a period of 3 months or more to perform
your duties hereunder, the Company may forthwith terminate your employment.
You agree and accept that any statutory or other "last in first out" rule or any modifications thereof shall not apply in the
event of the termination of this Employment Agreement for any reason whatsoever.

8. RETIREMENT AGE

The Company’s retirement age is 58.

9. CONDITIONS OF EMPLOYMENT

Your employment is conditioned on your doing the following prior to employment with the Company and the Company
resolving these issues to its satisfaction:
You’r obtaining all employment and/or visa approvals from the relevant government authorities to enable you to
work for the Company in the Place of Employment.
If requested, you’re agreeing to and completing an employment and background check and on the Company’s
satisfaction with the results of any required checks. Should the Company learn that you provided false information
in connection with these checks, it may terminate your employment with no payment in lieu of notice or any other
compensation to you.
You’re completing an Export Controls Questionnaire and the Company’s satisfaction that it can obtain all licenses
it may need to employ you based on the information you provide.
You’re disclosing in writing any interest you may have which may create an actual or perceived conflict of interest
with your employment by the Company. Generally, a conflict of interest exists when a personal interest or activity
interferes with or has the potential to interfere with your professional judgement or your responsibility to the
Company because it is inconsistent with the Company’s interests. For example, a conflict of interest may exist if,
while you are employed by the Company, you are a consultant for, have an affiliation with or a financial interest in,
an Qualcomm customer, reseller, distributor or competitor.
You’re disclosing to the Company any ongoing legal obligations you have to a prior employer or another party,
including
obligations not to compete, to solicit customers or to solicit employees, which may prohibit you from working for
Qualcomm or doing your job fully.

10. DATA PROTECTION

You are required to review the Qualcomm Worker Data Protection Policy and review and sign the Qualcomm ,Worker
Data protection Consent form attached to this Employment Agreement.

11. NON-SOLICITATION

During your employment with the Company and for six months after the termination of your employment with the
Company for any reason, you agree that you will not do the following:
Solicit or encourage any employee of Qualcomm or any of its subsidiaries (collectively, “Qualcomm” and
individually “an Qualcomm company”) to terminate his or her employment within Qualcomm, or
Solicit or encourage any Customer to purchase goods or services from a Competitor.

For purposes of this provision, “Solicit” means to lure or approach with a request or invitation. A “Customer” is an
individual, company, or entity: that has purchased or purchases from an Qualcomm company or one of its authorised
resellers or distributors any products or services of an Qualcomm company; and about which you obtained
confidential or proprietary information during your employment with the Company, or for which you were
responsible for or assigned to during the last one (1) year of your employment with the Company.

A ”Competitor” includes any business that develops, markets, sells or licenses products and services similar to, or
which otherwise competes with, an Qualcomm company’s products and services. By way of example only, some of
the Competitors include, but are not limited to, Dassault Systems, Inc. and its subsidiaries DS SolidWorks Corp.,
DS Enovia Corp. and Parametric Technology Corporation. This list is meant to be illustrative only and the parties
expressly agree that application of the non-solicitation covenant will not be limited to enforcement against only
these companies.

12. AGREEMENT

You agree to keep the terms of the Employment Agreement completely confidential and not disclose any
information concerning it to anyone other than your immediate family, legal counsel, and/or financial advisors who
agree to be bound by this provision.

This Employment Agreement constitutes the only agreement between you and the Company regarding the terms and
conditions of your employment. It supersedes any and all previous agreements and representations regarding your
employment, whether written or verbal. The Company may change the terms of the Employment Agreement in its
discretion as allowed by local law.
In the event that one or more provisions of this Employment Agreement is determined to be invalid or unenforceable
for any reason, the remainder of the Employment Agreement shall remain in full force and effect. Copies of the
Employment Agreement are as valid as the original. The failure of either party to insist on performance of any
provision of the Employment Agreement is not a waiver of its rights under such provision. The Employment
Agreement shall be governed by and construed in accordance with the laws of India. You and the Company each
irrevocably consent to the exclusive jurisdiction of the courts in the state in which you provide services for any matter
arising out of or relating to the Employment Agreement, unless otherwise required by local law.

The terms of this Offer Letter are confidential in nature and the Company shall view any breach with utmost seriousness and
such breach shall result in unconditional withdrawal of this Offer Letter. You are required to sign and return one copy of the
Offer Letter; failing which the Company reserves the right to withdraw and cancel the Offer Letter.

By signing below, you are acknowledging that you have read and understand the Employment Agreement and are
knowingly, willingly and voluntarily agreeing to all the terms of it.

remuneration may need to be revised from time to time in keeping with regulatory developments or otherwise, and
the Company will not be liable for any additional tax liability you may face due to such revisions.
