To promote a joint venture company between ,

South Korea and a local partner in India to produce quality
Aluminum Foil Container and Kitchen/Cooking Foil.

3. Introduce the Joint-Venture and its products

Up to now the price of raw material of aluminum foil, for producing the
high volume food processing and manufacturing industries including
chilled and frozen food, bakery products, baked meat pies, and take
away prepared food sectors, in Korea is very higher than other countries.

Especially, the foil for airline catering service are 100% imported from
Germany, other Europe countries and Japan because these materials not
 available in Korea and any other countries in world as any company
have no advanced technology of manufacturing products.

We therefore would like to establish the joint-venture plant for Al-foil

Containers and Kitchen Foil in one of India having
advantages of easy-get all kind of raw material foils for them at
economic prices from one of world largest manufacturers, such as the
The Indian Group, Surabaya, Indonesia or Nikkei Aluminum Ltd.,
Bangkok, Thailand and etc.

And we would like to lead the development of domestic industry and
export our products to worldwide.

1. Product Information.

are a convenient way of cooking, freezing, reheating and
serving any foods. The excellent thermal qualities of Al-foil
mean that Al-foil container are very energy efficient.
The extensive range and premium quality of the Al-foil
container have made us the leader in meeting the specialized
needs of the take away, baker pastry cook and catering
industries.

Customers demand cleanliness and hygiene in all food serving

containers and Al-foil containers are totally recyclable.

b. Kitchen / Cooking Foil ;

Our Kitchen / Cooking Foil is specially designed with a unique

trouble free dispenser system with quality aluminum foil that
is available in general purpose or heavy duty gauges.

Our foil provides all popular width or can customize to your

individual needs. Width, Length and Packaging can be fully
adapted to suit your requirement for Roasting, Wrapping,
Storing and Freezing.

4. Proposal
, who has over 20 years of experience in Aluminum Foil
Containers and Kitchen/Cooking Foil design and the large
engineering facility staffed by designers, tool and die makers and
engineers can coordinate the entire production process of a new
container-from the concept and design to the final manufacture,
will supply all the required machinery to produce Al-foil container
 and Kitchen/ Cooking Foil.

For the 100% of the machinery value will receive share in new
company.

Korean Company will provide the technical know how to produce the quality
products, installation and commission the plant, train the operators
and run production.
The local partner will provide the auxiliary equipment such as
air compressor, power, building, also labor, working capital and
other.

The scope of Korean Company

As the project we informed, we are going to invest all of necessary

machines and equips as below stated.
- We will supply

Terms and Conditions.

1. The Indian Group Company will be paid to Korean Company Int’l Inc.,
for
U$ 250,000 by T/T or the L/C for covering all the importing equips and
machines which is stated on the project plan to China from Korean
Company Intl Inc.
as the counter-guarantee money.

And the balance, for U$ 224,000 ( after U$ 250,000 deducted

from the total cost for covering all of the equips and machine,
U$ 474, 000 ) will be invested as our basic investment by
supplying all of the equips and machines as stated in the project
plan.

And the counter –guarantee money for U$ 250,000 will be invested back
to
 the new joint venture company by Korean Company within 3 year
from the date of the opening the joint-venture as for the expanding size
of
this company in China.

2. We will ship the all of the equips and machines with all necessary
tools to the China site of our new joint venture company immediately
as basic investment on this project.
3. Other terms and conditions are remained as same as in the project.

4. All of our orders and goods for export will be transferred to the
joint-venture company and will be produced them in the same
company. The management of the this company will executed,
included know- how technical by the director board meeting
of Korean Company and you as our Local Partner of the The Indian
Groups

5. All of agreement with you on this project should be finished

on before Oct.31, 2009, and the counter-guarantee money for
U$ 250,000 will be reached us by Nov. 15, 2009.

6. Management of the new company Southern Aluminum Ind. Co. Ltd., in

China shall be 100% responsibility of and directed by Korean Company
Intl Inc.
as an partner company of the The Indian Group Company

7. All the machines and equips shall be transferred to Southern

Aluminum Ind. Co., Ltd. as well as the technology and know-how
for manufacturing the moulds from the design to final moulds.

8. At new established China company, manufacturing and operation of

dies and moulds will be under the supervision and carried out by Korean
Company 's
own capital and expenses. And Korean Company will be supplied New
Company's orders of aluminum foil container and or moulds.
The scope of The The Indian Group Company

1. The Indian Group Company will establish the L/C or T/T for U$ 250,000 for
The counter-guarantee money and provide the shipment of all of necessary
Equips and Machines as stated in this project.

2. In cover to the risk of the L/C, the The Indian Groups Company has a right
of
100 % owner ship all of the imported machinery, equips and tools from
Korea.

3. The The Indian Group Company will provide the factory and the
accommodation
And meals for Korean Engineering & Technical Team.

4.Providing an office and factory for this project materials and others
facilities
which are not included in our basic plan we supply, and preliminary and
operating
capital, logistic expenses, taxes , and including the reservation money.

5. And Engineering expenses of which should be capitalized etc.

For example, personal training and salary for the dispatched Korean
engineers.

1. Custom Al-foil Containers

Korean Company has over 20 years of experience in Al-foil containers
design. The large engineering facility staffed by designers,
tool makers and engineers can coordinate the entire production
process of new container from the concept and design to the
final manufacture.

However, it is advisable to consider the large range of Korean Company

Al-foil containers before having an exclusive tool built as tools
to make Al-foil containers are very complex and expensive.

2. Embossing
Your products can easily be given an exclusive touch through a
company name and logo being stamped on the base of the Al-foil
 container. Simple name and graphic stamps can be made very
economically. Quote for highly detailed embossing tools are gladly
given. Short runs of embossed Al-foil containers for on off
promotions can be made but a lead time of about 2 week can be
expected.

3. Lids
Standard lids are of high-quality white board with Aluminum foil
in variety shapes and sizes are available ex-stock. Clear plastic
lids are also available ex-stock for specific Al-foil container.

Korean Company can provide printed lids-ranging from a simple on color

message up to the most detailed five color design. A 2 week lead
time is required and minimum order requirements apply.
